Yasree Works and Trades Limited


These Terms and Conditions (“Agreement”) govern the manufacturing, supply, and trade of goods and services by Yasree Works and Trades Limited (“Company,” “we,” or “us”). By placing an order or engaging in business with us, you (“Customer”) agree to the following terms and conditions.


1. Definitions


  • “Goods”: The products manufactured, sold, or supplied by the Company.
  • “Services”: Any services provided by the Company related to the production, design, or distribution of Goods.
  • “Customer”: The entity or individual who purchases Goods or Services from the Company.


2. Orders


  • All orders must be submitted in writing by the Customer through an official purchase order.
  • Orders are subject to acceptance by the Company, and we reserve the right to reject any order without providing a reason.
  • Once an order is accepted, it cannot be cancelled by the Customer without the Company’s written consent.


3. Pricing and Payment


  • Prices quoted are exclusive of VAT, taxes, duties, or shipping charges unless otherwise stated.
  • Payment terms are 14days  (e.g., 14days from the date of invoice), unless otherwise agreed in writing.
  • The Customer is responsible for any additional charges, such as customs duties, tariffs, and related costs.


4. Delivery


  • Estimated delivery dates will be provided upon order confirmation, but time is not of the essence unless explicitly stated in writing.
  • The Company is not liable for any delays caused by factors beyond its control, such as delays in shipping, customs clearance, or force majeure events.
  • Delivery is deemed complete when Goods are handed over to the carrier. Risk in the Goods passes to the Customer upon delivery.


5. Title and Risk


  • Title to the Goods remains with the Company until full payment is received.
  • Risk of loss or damage to the Goods passes to the Customer upon delivery to the agreed location or carrier, whichever occurs first.


6. Inspection and Acceptance


  • The Customer must inspect the Goods upon delivery and notify the Company of any defects or discrepancies within one day.
  • If the Customer does not notify the Company within the specified period, the Goods are deemed accepted as delivered.


7. Warranty


  • The Company warrants that the Goods will conform to the specifications agreed upon at the time of order and will be free from material defects for a period of 30days from the date of delivery.
  • This warranty does not apply to defects arising from misuse, negligence, or unauthorized alterations by the Customer.
  • In the event of a valid warranty claim, the Company’s liability is limited to repair, replacement, or refund of the defective Goods, at its discretion.


8. Limitation of Liability


  • The Company’s liability for any claim arising out of or relating to the supply of Goods or Services is limited to the price paid for the specific Goods or Services in question.
  • The Company is not liable for any indirect, special, or consequential damages, including loss of profit, revenue, or business opportunity.


9. Intellectual Property


  • All intellectual property rights related to the Goods, including designs, patents, trademarks, and copyrights, remain the exclusive property of the Company.
  • The Customer may not reproduce, modify, or distribute any materials provided by the Company without prior written consent.


10. Force Majeure


  • The Company is not liable for any failure to fulfill its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, natural disasters, or supply chain disruptions.


11. Confidentiality


  • Both parties agree to keep any confidential information received during the business relationship private and not to disclose it to any third party without prior written consent.
  • This obligation survives the termination of the business relationship.


12. Termination


  • The Company reserves the right to terminate any order or business relationship if the Customer breaches these Terms and Conditions or becomes insolvent.
  • Upon termination, all outstanding amounts owed by the Customer become immediately due.


13. Governing Law


  • These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
  • Any disputes arising from or related to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.


14. Severability


  • If any provision of these Terms and Conditions is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.


15. Entire Agreement


  • These Terms and Conditions, along with any order-specific agreements, constitute the entire agreement between the Customer and the Company and supersede any prior discussions, agreements, or understandings.
